Pro's and con's of 64 bit chip?

What are the tangeble benifits of a 64 bit chip? I am super partial to AMD but I'm not really clear what 64 bits will and will not do for my computing experience. Are there any negatives?

None, ALL code has to be rewritten for a pure 64bit chip, and we already use 32/64bit hybrids, SSE and 3dnow! are 64bit FPU extensions, there is no use for a 64bit chip, and its already been proven many of todays apps that have been ported to 64bit Cisc run slower.
