Here you go people..
I worked away at this for a couple of hours and the 'fix' is simple. I stumbled across another internet forum thread where someone mentioned the BIOS settings. My onboard audio was set to AUTO, which does not mean enabled.. it means auto, which apparently resulted in disabled.

1. Download the proper Audio Drivers from your motherboard manufacture's website. Make sure you select the correct driver for the correct motherboard & operating system. Save and unzip the files to a folder which you will remember.

2. Reboot, while the computer is booting press F2 to enter your BIOS. Find and enter your CHIPSET options. You should see ONBOARD AUDIO HD [AUTO/DISABLED]. Change this to [ENABLED]. Use the ESC button to get back to the main menu, SAVE AND EXIT.
[Use the controls listed in the BIOS menu to navigate BIOS (ie. R/L arrow keys, U/D arrow keys, +, -, ENTER, ESC]

3. Your computer will reboot again and windows should find a new device automaticly. You are now installing "Microsoft UUA / Bus driver". Choose to locate the files yourself. Use BROWSE to select the folder where your audio driver is, you may have to select a sub-folder (ie. "/WDM" for Realtek). Press OK.
[tip: You will not be able to press OK until the correct folder is selected]

You will have to do this one more time for the audio driver itself - should be automatic in Windows.
If this does not happen, right-click on My Computer > Properties > Hardware tab > Device Manager > find the unknown 'PCI Device' > right-click and Update Driver.. follow #3

This worked for my Realtek version 1.44 driver on my ASRock AM2NF4G-SATA2 motherboard. I am running Windows XP Pro SP2. Hope this helps some if not all of you.
[all other methods I found on the net for this including other MS driver bundles did not work for me]
